ENTITY GUIDE / PRIVATE BUSINESS CORPORATION

A simpler structure for a serious business.

A Private Business Corporation — PBC — can be suitable for qualifying smaller, member-managed businesses. It is a distinct legal structure, not merely a cheaper version of a Private Limited Company.

No account, payment or ID scan needed to enquire.

01

What makes a PBC different?

PBC owners are members with percentage interests rather than shareholders with share allocations. Under Zimbabwe's Companies and Other Business Entities framework, a PBC generally has one to twenty qualifying members and requires an incorporation statement and accounting officer arrangements.

02

What we collect first

We begin with name options, business purpose, a Zimbabwe registered address, member names, percentage interests, contribution information and accounting officer particulars.

  • Up to three proposed names
  • Description of business activities and physical registered office
  • Details of proposed individual members and their ownership percentages
  • Accounting officer details and any prescribed professional confirmation
03

Specific PBC forms

The prescribed official incorporation statement and professional certificates are handled separately from our preparatory Google Docs questions. We do not present informal forms as official Registry paperwork.

04

Price and handling

Our standard PBC service is US$400 and priority service US$600. The normal targets are five working days and three days respectively after complete documentation, payment and review; Registry processing is outside our control.

FAQ / PRACTICAL ANSWERS

Before you begin.

Clear answers now, then the right paperwork.

Can a PBC have only one member?

A PBC can be formed with one qualifying member, subject to statutory requirements.

Does a PBC use shares?

No. Membership interests are expressed as percentages; do not use a Pvt Ltd share register for a PBC.

Does every proposed member qualify?

Not necessarily. Member eligibility and governance arrangements require review before filing.
